UNITED INTERNATIONAL GOLFERS OF AMERICA (UIGA)

CONSTITUTION AND BY-LAWS

Article I - NAME

The name of this organization shall be United International Golfers of America

Article II - PURPOSE

1. To stimulate interest in golf by bringing together a group of people desirous of forming a golfing organization

2. To promote and foster among its members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interest and true spirit of the game of golf as embodied in its ancient honorable tradition.

3. To enforce uniformity in the rule of the game by creating a representative authority.

4. To maintain uniform system of handicapping as set fourth in the regulation of Southern California Golf Association

5. To provide a convenient forum and authoritative body to govern club tournaments held at various golf courses throughout the Southern California Area.

Article III - MEMBERSHIP

Section 1. Membership shall be open to all people 18 years or older

Section 2. Members confer no voice in the operations of the golf courses, club houses, nor facilities of the courses.

Section 3. Membership with the UIGA is for a calendar year only, expiring on on December 31st of the calendar year.

Section 4. Each candidate for membership shall be recommended by a member in good standing. The Membership Committee shall act upon each recommendation by vote and two negative votes shall disqualify the candidate.

Section 5. The Membership Committee may confer honorary membership status on individuals whom the Committee feel have contributed to the advancement of UIGA. The unanimous affirmative vote of the Committee shall be required to approve such action.

Section 6. In the event any member of this organization shall commit any act which reflects discredit and disrepute thereon or shall refuse or neglect to comply with the rules and regulations adopted by the United International Golfers of America or the duly elected officers, such member shall be subject to suspension or expulsion.

Section 7. The annual meeting of the UIGA shall be held after the tournament for the month of November. The Officers of the UIGA shall provide for the holding of such meeting, as they may be deem necessary or desirable and shall call special meeting upon written petition signed by not less than 10 % of the members.

Section 8. A Legal quorum at any meeting shall be sixty percent of the members. Each active member in good standing shall be entitled to one vote.

Section 9. All membership fees and dues shall be established by the Officers of UIGA from time to time for such amounts as they deemed to be adequate to operate and maintain the UIGA. Members shall be liable for their dues until their written or verbal resignation has been received.

Section 10. All membership fees and dues shall be paid on or before the tournament for the month of March, or the member shall forfeit their privileges as a member and will be classified as guest.

Article IV - OFFICERS AND COMMITTEES

Section 1. At least two months prior to the Annual Meeting, the Officers of UIGA shall appoint a Nominating Body consisting of three members of the club. At least one month prior to Annual Meeting, this committee shall submit to the UIGA members list of nominees of candidates to replace the officers for the term of office beginning January 1st and ending the last day of December.

Section 2. Voting shall be by written ballot and those names receiving the greater number of votes cast by those present at the meeting shall be declared elected.

Section 3. President, Vice President and Tournament Director. Their duties shall be as their title would indicate or such as may be assigned to them respectively from time to time.

Section 4. The officers of UIGA shall meet at such time and places as they may select and a majority of the officers shall constitute a quorum at any meeting.

Section 5. The officers of UIGA shall authorize and define the powers and duties of all committees. Chairman and members of all committees shall be appointed by the President and the President shall be ex-officio member of all committees except the nominating committee.

Section 6. In case of any vacancy through death, resignation, disqualification or other causes, the remaining officers, even though less than a quorum, may elect a successor by majority vote to hold office for the remaining term of the officer whose place has been vacated, and until the election of his successor.

Section 7. The following committees shall be appointed each year with such as the President may deemed necessary or advisable:

Tournament Committee - to arrange and schedule with the different golf courses, and conduct all intra-club and inter-club competition.

Rules Committee - to implement all the rules and by-laws of UIGA and all golf rules in accordance with existing Rules of Golf by the United States Golf Association and the Southern California Golf Association.

Handicap Committee - to establish a fair and proper system of handicaps in accordance with the procedures laid down by the Southern California Golf Association.

Membership Committee to investigate and act upon all applications for membership and recommend appropriate action to the Officers of UIGA.

Article V - AMENDMENTS TO BY-LAWS

Section 1. The officers of UIGA shall have the power to repeal any of these by-laws provided that such action shall be effective only upon approval by a majority vote of the members of UIGA at a meeting held in accordance with the provisions contained herein.
